AGREEMENT TO OUR LEGAL TERMS

These Terms of Use constitute a legally binding agreement between 1805 Reserve LLC (“Company,” “we,” “us,” or “our”) and any individual or entity (“you” or “your”) who accesses or uses our website, online store, membership services, or other services that link to these Terms (collectively, the “Services”).

1805 Reserve LLC operates a private cigar club and provides information about its club, memberships, events, products, and related services through its website. Our business mailing address is 3000 Bonsack Street, Lynchburg, Virginia 24501. Our contact email is 1805reserve@eastonandcompanyllc.com

By accessing or using our Services, you acknowledge that you have read, understood, and agreed to these Terms and any applicable policies incorporated by reference. If you do not agree, you must discontinue use of the Services.

These Terms do not replace any separately signed Membership Agreement, House Rules, liability waiver, Privacy Policy, or other agreement applicable to your participation in the club or purchase of our products.

We may update these Terms when necessary. Revised Terms will be posted on our website with an updated revision date. Changes will apply as permitted by law. Where required, we will provide notice or obtain your consent. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms to the extent permitted by law.

1. OUR SERVICES

Our Services may include information about 1805 Reserve, membership applications, membership renewals, events, online purchases, cigar products, promotions, and other club-related activities.

We reserve the right to change, suspend, or discontinue any portion of our Services, subject to applicable law and any contractual obligations.

Access to the website does not automatically grant membership or permission to enter the physical club. Membership approval, access privileges, guest privileges, and participation in club activities are subject to applicable membership requirements, club policies, and management approval.

Users are responsible for complying with the laws and regulations applicable to their location and use of our Services.

2. INTELLECTUAL PROPERTY RIGHTS

All website content owned by 1805 Reserve LLC, including our logos, branding, graphics, photographs, written content, designs, and original materials, is protected by applicable intellectual property laws.

You may view and use our website for lawful personal purposes. You may not copy, reproduce, modify, distribute, publish, sell, or commercially exploit our protected content without our prior written permission, except where permitted by law.

Nothing in these Terms transfers ownership of our trademarks, logos, or other intellectual property to you.

If you submit feedback, suggestions, or ideas about our Services, you grant us permission to use that feedback without compensation, provided we do not violate applicable law or our Privacy Policy. This permission does not transfer ownership of your unrelated intellectual property or confidential information.

You are responsible for ensuring that any materials you voluntarily submit to us do not violate another person's rights or applicable law.

3. USER REPRESENTATIONS

By using our Services, you represent that you have the legal capacity to enter into an agreement, that the information you provide is accurate and current, and that your use of the Services complies with applicable laws.

You agree not to misrepresent your identity, provide fraudulent information, impersonate another person, or use another person's payment or account information without authorization.

Individuals purchasing tobacco products must satisfy all applicable legal age and identification requirements. Club membership may be subject to additional age and eligibility requirements established in the Membership Agreement.

We may refuse, suspend, or terminate access where information is fraudulent, eligibility requirements are not met, or there is a reasonable basis to believe that these Terms or applicable laws have been violated.

4. PROHIBITED ACTIVITIES

You may use our Services only for lawful purposes. You agree not to:

  • Use the website to commit fraud, mislead others, or engage in unlawful activity.

  • Attempt unauthorized access to our systems, accounts, or administrative tools.

  • Interfere with website security, functionality, or availability.

  • Introduce malicious software, viruses, spam, or harmful code.

  • Use automated tools to scrape, collect, or extract website information without authorization.

  • Copy, reproduce, or commercially exploit our protected content without permission.

  • Impersonate another person or misuse another person's personal information.

  • Submit content that is unlawful, threatening, harassing, defamatory, discriminatory, or infringing.

  • Attempt to circumvent age verification, payment security, membership eligibility, or other lawful restrictions.

  • Use our Services to facilitate unlawful tobacco sales or the purchase of tobacco products for anyone under the legal minimum age.

  • Interfere with the operation of the club or engage in conduct that threatens the safety, rights, or property of others.

Violations may result in restricted access, cancellation of an order where legally permitted, suspension or termination of membership subject to applicable agreements and law, or referral to appropriate authorities.

5. USER SUBMISSIONS AND CONTRIBUTIONS

Our website may permit users to submit information through forms, membership applications, reviews, messages, event registrations, or other features.

You are responsible for ensuring that information you submit is accurate, lawful, and does not violate the rights of another person.

You must not submit confidential information belonging to another person without authorization, malicious content, false accusations, unlawful material, or content that infringes intellectual property rights.

We may review, remove, restrict, or decline submissions where reasonably necessary to protect our business, users, systems, or legal interests, subject to applicable law.

Submitting information does not automatically make you a member or guarantee that your application, request, or submission will be accepted.

6. USER CONTENT AND FEEDBACK LICENSE

You retain ownership of original content you submit, subject to any rights you separately grant to us.

By voluntarily submitting content for publication or use in connection with our Services, you grant 1805 Reserve LLC a non-exclusive, royalty-free license to use, reproduce, display, and distribute that content for the purpose for which it was submitted and for other purposes you authorize, subject to applicable law and our Privacy Policy.

We will not treat private membership records, payment information, or confidential communications as unrestricted public content merely because you provide them to us.

You may contact us to ask about the removal of content you submitted. We will review requests subject to our legal obligations, legitimate business needs, and any rights already granted.

7. SERVICES MANAGEMENT

We reserve the right to monitor the Services to the extent reasonably necessary to maintain security, enforce these Terms, and comply with applicable law.

We may investigate suspected violations, restrict access to harmful content, remove unauthorized material, correct technical problems, and take appropriate action to protect our business and users.

We may cooperate with law enforcement or other authorities when required or permitted by law.

Nothing in this section requires us to monitor every communication, submission, transaction, or activity occurring through our Services.

8. TERM, SUSPENSION, AND TERMINATION

These Terms remain effective while you access or use our Services.

We may suspend or terminate access to the website or its features when reasonably necessary due to violations of these Terms, suspected fraud, security risks, unlawful conduct, or other legitimate business reasons, subject to applicable law.

Termination of website access does not automatically cancel or resolve outstanding payment obligations, refund rights, membership rights, or other contractual obligations. Those matters will be handled under the applicable agreement and law.

If your membership is suspended or terminated, the Membership Agreement and House Rules will govern membership-related consequences, including any applicable notice, review, refund, or appeal provisions.

Sections concerning intellectual property, outstanding obligations, liability, indemnification, disputes, and other provisions intended to survive termination will remain effective to the extent permitted by law.

9. MODIFICATIONS AND INTERRUPTIONS

We may update, modify, suspend, or discontinue website features, products, prices, or services as permitted by law.

We do not guarantee uninterrupted, error-free, or continuous website availability. Maintenance, technical failures, third-party service interruptions, or circumstances beyond our reasonable control may affect access.

We are not responsible for interruptions or losses to the extent our liability may lawfully be excluded or limited under these Terms.

Nothing in this section excuses us from fulfilling applicable contractual obligations, honoring legally required refunds, or complying with consumer protection laws.

10. GOVERNING LAW

These Terms shall be governed by the laws of the Commonwealth of Virginia, without regard to conflict-of-law principles, except where applicable law requires otherwise.

Subject to applicable jurisdictional requirements and the dispute provisions below, disputes arising from these Terms shall be brought in the appropriate state or federal courts serving the Commonwealth of Virginia.

Nothing in these Terms limits any consumer rights that cannot lawfully be waived or restricts a court from exercising jurisdiction where required by law.

11. DISPUTE RESOLUTION

Before initiating a formal legal proceeding, the parties are encouraged to attempt to resolve disputes informally.

A party seeking resolution should provide written notice describing the dispute and the requested resolution. The parties should make a good-faith effort to resolve the matter within thirty (30) days after notice, unless urgent relief or a shorter period is reasonably necessary.

If the dispute cannot be resolved informally, either party may pursue available legal remedies in a court with proper jurisdiction, subject to applicable law.

Nothing in this section prevents either party from seeking emergency or injunctive relief when appropriate. Nothing in these Terms requires binding arbitration or waives a right that cannot legally be waived.

12. CORRECTIONS AND WEBSITE INFORMATION

We make reasonable efforts to provide accurate information about our Services, products, membership offerings, prices, events, and availability.

Occasionally, information may contain typographical errors, inaccuracies, omissions, or outdated details. We reserve the right to correct such errors and update information as permitted by law.

If an error materially affects an order or transaction, we will address the issue in accordance with applicable law and our published policies. We will not use this provision to disregard an accepted order or a consumer's legal rights.

13. DISCLAIMER

Our website and its general informational content are provided on an “AS IS” and “AS AVAILABLE” basis, to the fullest extent permitted by law.

We do not guarantee that all website information will always be complete, current, uninterrupted, or free of errors. We disclaim warranties to the extent permitted by applicable law, including implied warranties that may otherwise apply to the website.

This disclaimer does not eliminate express promises we make, statutory consumer rights, or obligations relating to products or services we provide.

Links to third-party websites or services are provided for convenience. We do not control third-party services and are not responsible for their independent content, policies, or practices, except to the extent applicable law provides otherwise.

Tobacco and Smoking Notice. Cigars and other tobacco products carry health risks, including risks associated with nicotine and exposure to tobacco smoke. Nothing on our website constitutes medical advice or represents that tobacco use is safe. Customers and club guests are responsible for observing applicable smoking restrictions and club policies.

14. LIMITATION OF LIABILITY

To the fullest extent permitted by applicable law, 1805 Reserve LLC and its owners, officers, employees, and agents will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages arising from use of the website or inability to access the Services.

To the fullest extent permitted by law, our aggregate liability arising from the Services will not exceed the greater of the amount you paid directly to 1805 Reserve LLC for the specific Service giving rise to the claim during the twelve (12) months before the event giving rise to the claim, or one hundred dollars ($100).

These limitations apply only to the extent legally enforceable and do not exclude liability that cannot lawfully be excluded or limited, including any applicable liability for fraud, willful misconduct, or other non-waivable claims.

Nothing in this section is intended to remove rights or remedies available under applicable consumer protection laws.

15. INDEMNIFICATION

To the extent permitted by law, you agree to be responsible for reasonable losses, damages, and third-party claims arising from your unlawful conduct, material violation of these Terms, infringement of another person's rights, or misuse of our Services.

This obligation applies only to the extent your acts or omissions caused or contributed to the claim. It does not require you to indemnify 1805 Reserve LLC for our own negligence, willful misconduct, or liability where such indemnification is prohibited by law.

We may control the defense of a claim for which indemnification is properly available, and you agree to provide reasonable cooperation. We will provide notice of such claims as reasonably practicable.

Any separate indemnification obligations in a signed Membership Agreement or other contract will be governed by that document and applicable law.

16. USER DATA AND PRIVACY

We may collect and process information necessary to operate our website, process transactions, administer memberships, communicate with customers, prevent fraud, and comply with legal obligations.

Our collection, use, retention, and disclosure of personal information are described in our separate Privacy Policy.

We use reasonable measures designed to protect information within our control. However, no electronic transmission or storage system can be guaranteed completely secure.

You are responsible for providing accurate information and maintaining the security of your account credentials. You should promptly notify us if you believe your account or personal information has been compromised.

We retain information for legitimate business, operational, legal, and recordkeeping purposes, subject to applicable law. We do not claim unrestricted ownership of your personal information merely because you provide it.

17. ELECTRONIC COMMUNICATIONS, TRANSACTIONS, AND SIGNATURES

By using our Services, submitting forms, or communicating with us electronically, you acknowledge that we may communicate with you electronically concerning your requests, orders, membership, transactions, and these Terms.

Where legally valid, electronic records, agreements, and signatures may satisfy applicable writing and signature requirements.

You agree that electronic communications may be used for legally permitted business transactions. Where the law requires a particular form of consent, notice, or record retention, we will comply with that requirement.

You are responsible for maintaining an accurate email address and contact information for communications relating to your transactions and membership.

18. MISCELLANEOUS

These Terms, together with any applicable policies and agreements incorporated by reference, govern your use of the Services. If a separate signed agreement addresses a specific subject in greater detail, that agreement will govern that subject to the extent of any conflict, subject to applicable law.

Our failure to enforce a provision does not constitute a waiver of that provision. If any provision is found unenforceable, the remaining provisions will remain effective to the extent permitted by law.

We may assign our rights and obligations as permitted by law. You may not transfer your rights or obligations under these Terms without our consent where consent is legally required.

We are not responsible for delays or failures caused by events beyond our reasonable control, subject to applicable law.

These Terms do not create a partnership, joint venture, employment relationship, or agency relationship between you and 1805 Reserve LLC.

Headings are included for convenience and do not affect interpretation. Nothing in these Terms limits any rights that cannot lawfully be waived.

19. ONLINE CIGAR SALES, AGE VERIFICATION, AND DELIVERY

1805 Reserve LLC intends to conduct all sales of tobacco products in accordance with applicable federal, state, and local laws.

Tobacco products may not be purchased by or supplied to anyone under twenty-one (21) years of age. Customers must provide truthful age and identity information and complete any legally required age-verification procedures.

For online tobacco orders, we may require identity verification before accepting or fulfilling an order. Where required by law, we will use an appropriate age-verification process and a delivery method requiring the signature of a person at least twenty-one (21) years of age. Orders may be declined, delayed, or canceled when legal requirements cannot be satisfied.

Customers are responsible for providing accurate delivery information and ensuring that delivery can lawfully occur at the destination. We may refuse or restrict orders where shipping, licensing, tax, age-verification, or other legal requirements cannot be met.

Any shipping dates provided are estimates unless expressly stated otherwise. If we cannot ship an order within the applicable promised period, we will provide required notices, seek consent to delays where required, and issue refunds as required by law.

These Terms do not replace any tobacco retailer permits, tax registrations, shipping authorizations, or operational compliance measures required for lawful sales.

20. ONLINE ORDERS, CANCELLATIONS, RETURNS, AND REFUNDS

Orders are subject to product availability, payment authorization, and applicable legal requirements. We reserve the right to correct genuine pricing or listing errors and to contact customers concerning material order discrepancies.

Customers should contact us promptly regarding incorrect, damaged, missing, or undelivered orders. We will review the circumstances and provide remedies required by applicable law and our stated policies.

Cancellation requests will be handled according to the order's fulfillment status, any clearly disclosed cancellation terms, and applicable law. We will not deny a refund or cancellation right that the law requires us to honor.

Where an order cannot be shipped within the applicable promised period, we will follow the notice, consent, and refund requirements of applicable law.

Any additional return or refund conditions must be clearly disclosed to customers before purchase and must comply with applicable law.

21. MEMBERSHIP AND PHYSICAL CLUB OPERATIONS

Use of the physical 1805 Reserve private club is subject to eligibility requirements, membership approval, payment obligations, the Membership Agreement, and the House Rules.

Website access, purchasing a product, registering for an event, or submitting an application does not guarantee entry to the premises or admission as a member.

Members and guests must comply with lawful club rules, staff instructions, applicable smoking restrictions, and all relevant safety requirements.

Members are responsible for their guests' conduct to the extent established by the applicable Membership Agreement and House Rules.

The Company may restrict access or suspend or terminate membership for serious or repeated violations, nonpayment, unlawful conduct, safety concerns, or other grounds permitted by the applicable agreements and law.

Membership fees, renewal terms, cancellation procedures, guest privileges, locker requirements, food and beverage policies, event rules, and conduct standards are addressed in the applicable club documents. Those documents should be reviewed and accepted separately where required.

22. ASSUMPTION OF RISK AND PHYSICAL PREMISES

The physical club may involve ordinary risks associated with being on the premises and exposure to tobacco smoke. Individuals should consider their own health and circumstances before entering or participating in club activities.

Members and guests must comply with posted safety requirements and applicable law. No person may engage in conduct that creates an unreasonable risk of injury, property damage, or disruption.

Any assumption of risk, release of liability, or waiver relating to physical attendance must be set out in a separate document when appropriate. This section does not itself constitute a comprehensive liability waiver and does not release the Company from liability that cannot legally be waived.

23. THIRD-PARTY PAYMENT AND WEBSITE SERVICES

Our Services may rely on third-party providers for website hosting, payment processing, order fulfillment, communications, identity verification, or other functions.

Your use of third-party services may be subject to their own terms and privacy policies. We do not control independent third-party systems and cannot guarantee their continuous availability.

Nothing in this section excuses us from our own obligations concerning customer payments, refunds, personal information, or transactions.
